 &lt;br /&gt;&lt;div class="MsoNormal"&gt;The need for a new type of corporation, where profits are no longer pursued at the expense of the employees, the environment and the local community is now reaching a fever pitch. &lt;span style="mso-spacerun: yes;"&gt;&amp;nbsp;&lt;/span&gt;Just last night the Occupy Wall Street protesters were forcibly evicted from Zuccotti Park.&lt;span style="mso-spacerun: yes;"&gt;&amp;nbsp; &lt;/span&gt;Today, protesters across the country march in solidarity – but for what exactly?&lt;span style="mso-spacerun: yes;"&gt;&amp;nbsp; &lt;/span&gt;&lt;span style="mso-spacerun: yes;"&gt;&amp;nbsp;&lt;/span&gt;The power elite has not shown any sign of changing their ways, and the rest of us are left in the cold, without any new change. &lt;/div&gt;&lt;div class="MsoNormal"&gt;&lt;br /&gt;&lt;/div&gt;&lt;div class="MsoNormal"&gt;I would say this about the Occupy Wall Street movement: it has been a critical first step in creating dialogue about the problem of corporate greed. However it is limiting, and has not yet produced a solution that will guide our country in a new direction.&lt;span style="mso-spacerun: yes;"&gt;&amp;nbsp; &lt;/span&gt;Now that America is listening, it is time for the movement to organize towards solutions that put people back to work, that protect our environment and that require greater corporate transparency and accountability.&lt;span style="mso-spacerun: yes;"&gt;&amp;nbsp; &lt;/span&gt;&lt;/div&gt;&lt;div class="MsoNormal"&gt;&lt;br /&gt;&lt;/div&gt;&lt;div class="MsoNormal"&gt;I believe that California just may be on the forefront of this critical next step: one that will fundamentally shift the corporate culture.&lt;span style="mso-spacerun: yes;"&gt;&amp;nbsp; &lt;/span&gt;Just last month, Governor Jerry Brown signed into law two new laws that create the Benefit Corporation and the Flexible Purpose Corporation. &lt;span style="mso-spacerun: yes;"&gt;&amp;nbsp;&lt;/span&gt;Starting January 1, 2012, existing and new corporations can elect to govern themselves for a public benefit purpose, with greater transparency and reporting to the public and shareholders. &lt;span style="mso-spacerun: yes;"&gt;&amp;nbsp;&amp;nbsp;&lt;/span&gt;&lt;/div&gt;&lt;div class="MsoNormal"&gt;&lt;br /&gt;&lt;/div&gt;&lt;div class="MsoNormal"&gt;Consumers are already choosing to spend their hard earned dollars with companies that actively participate in their community, that take responsibility for their impact on the environment and that are voluntarily transparent.&lt;span style="mso-spacerun: yes;"&gt;&amp;nbsp; &lt;/span&gt;&lt;span style="mso-spacerun: yes;"&gt;&amp;nbsp;&lt;/span&gt;These companies are part of an exploding new economy, estimated at 300 billion dollars in the U.S. alone.&lt;span style="mso-spacerun: yes;"&gt;&amp;nbsp; &lt;/span&gt;Corporations which choose to hold themselves to these higher ethical standards will be far more likely to succeed financially over the long term, will enjoy greater consumer confidence and loyalty, and their employees will be more productive because they will know that their work is contributing positively to society.&lt;span style="mso-spacerun: yes;"&gt;&amp;nbsp; &lt;/span&gt;&lt;span style="mso-spacerun: yes;"&gt;&amp;nbsp;&lt;/span&gt;&lt;/div&gt;&lt;div class="MsoNormal"&gt;&lt;br /&gt;&lt;/div&gt;&lt;div class="MsoNormal"&gt;It is my belief that the Benefit Corporation and the Flexible Purpose Corporation will be a part of the answer to the current corporate culture of greed, that these two new corporate structures will be a positive rallying point to address the sentiment of the 99%, whether you are out there protesting or inwardly hoping for a real shift.&lt;span style="mso-spacerun: yes;"&gt;&amp;nbsp; &lt;/span&gt;&lt;span style="mso-spacerun: yes;"&gt;&amp;nbsp;&amp;nbsp;&lt;/span&gt;&lt;span style="mso-spacerun: yes;"&gt;&amp;nbsp;&lt;/span&gt;&lt;/div&gt;&lt;div class="MsoNormal"&gt;&lt;br /&gt;&lt;/div&gt;&lt;div class="MsoNormal"&gt;I look forward to being a part of this change, and encourage anyone who wants to know more about how to form a Benefit Corporation or a Flexible Purpose Corporation to &lt;a href="http://www.sustainable-lawyer.com/"&gt;contact my office for more information&lt;/a&gt;.&lt;span style="mso-spacerun: yes;"&gt;&amp;nbsp;&amp;nbsp; &lt;/span&gt;If you are in the Santa Monica Area, please register for my lunch event tomorrow titled:&lt;span style="mso-spacerun: yes;"&gt;&amp;nbsp; &lt;/span&gt;Social Enterprise: Innovative New Business Structures for People Planet and Profit where I will be talking in more detail about these new options. A social enterprise located in The Bronx, New York, Karma Builders trains and employs formerly incarcerated individuals in the service of woodworking for local sustainable companies. Through a six-month program, these individuals are trained in green woodworking and assembly and are also introduced to yoga and mindfulness. It is a very unique idea, I think, and one that will allow these individuals to finish the program with a strong skill set to enter the workforce and an enlightened perspective on life. This legally allows the managers of the L3C to achieve their organization’s social mission without violating duties to the company’s investors in the event that that social mission does not “maximize profits” in a traditional sense.&lt;/span&gt;&lt;/div&gt;&lt;div class="MsoNoSpacing"&gt;&lt;br /&gt;&lt;/div&gt;&lt;div class="MsoNoSpacing"&gt;&lt;span style="background: none repeat scroll 0% 0% white;"&gt;Another benefit of forming an L3C is that it may attract investment from foundations.&amp;nbsp; Foundations are non-profit organizations that, under certain circumstances, can &amp;nbsp;invest in for-profit companies.&amp;nbsp; However, these investments, called Program Related Investments, require that the investment further the public benefit purpose of the foundation.&amp;nbsp; For example a foundation which&amp;nbsp; has a purpose to educate at risk youth could invest in an&amp;nbsp; L3C whose mission, through its for-profit venture, &amp;nbsp;is also to provide education to at risk youth.&amp;nbsp; Not only does the L3C benefit by having a like-minded investor, the foundation has the opportunity to increase their funds through receiving a return on their investment.&amp;nbsp; &lt;/span&gt;&lt;/div&gt;&lt;div class="MsoNoSpacing"&gt;&lt;br /&gt;&lt;/div&gt;&lt;div class="MsoNoSpacing"&gt;&lt;span style="background: none repeat scroll 0% 0% white;"&gt;The&amp;nbsp; L3C, while still new,&amp;nbsp; has the potential to enhance the business world with a fresh and sustainable approach to doing business as well as the potential to increase the amount of money available to traditional foundations.&amp;nbsp; that state and city governments as well as nonprofits could not sue utility companies for greenhouse gas emissions from their power plants. Instead, because the Court ruled that greenhouse gas emissions fall under the category of “air pollutant” under the Clean Air Act (&lt;span style="font-style: italic;"&gt;&lt;a href="http://www.oyez.org/cases/2000-2009/2006/2006_05_1120/"&gt;Massachusetts v. EPA&lt;/a&gt;&lt;/span&gt;), the &lt;a href="http://www.epa.gov/"&gt;EPA&lt;/a&gt; alone is responsible for regulating and setting standards for these fossil-fuel fired power plants.&lt;br /&gt;&lt;br /&gt;This comes as mixed news.&lt;br /&gt;&lt;br /&gt;On the negative side, through this ruling the Court has set the stage preventing other organizations from forcing utility companies to cut greenhouse gas emissions. In this specific Supreme Court case, the defendants were five utility companies which the plaintiffs alleged are the five largest emitters of carbon dioxide in the country, responsible for 10% of greenhouse gas emissions from all domestic human sources in the United States. To prevent any person or organization from forcing limits upon emitters can seem frustrating in light of climate change issues.&lt;br /&gt;&lt;br /&gt;However, on the positive side, the EPA &lt;span style="font-style: italic;"&gt;has &lt;/span&gt;stated that they will set standards limiting emissions from fossil-fuel fired power plants by &lt;span style="font-weight: bold;"&gt;May 2012&lt;/span&gt;. And the Supreme Court did explain that if the EPA does not set emission limits for a particular pollutant at that time, States and private parties could then file suit.&lt;br /&gt;&lt;br /&gt;Overall, I agree with the Court’s decision and I think it is a great reminder of how the EPA is finally taking responsibility and moving forward on regulating emissions that are exacerbating climate change. Additionally, I think it prompts business owners to remember that we cannot forget our individual responsibility. On a whole, it involves management and maintenance of the environment, the economy, and society. That can include reducing the amount of fossil fuels and raw materials we use, reducing the amount of food and water we consume, and reducing the amount of waste we produce without jeopardizing the livelihoods and economic stability of our society.&lt;/span&gt;  &lt;p class="MsoNormal"&gt;&lt;span style="font-size:100%;"&gt;Yet while we think of achieving sustainability on an individual and organizational level, e.g. local towns, individual businesses, and social groups, at least for me, I never thought of how a &lt;b style=""&gt;&lt;i style=""&gt;bank&lt;/i&gt;&lt;/b&gt; could strive for sustainability (beyond their efforts to switch to e-statements). &lt;/span&gt;&lt;/p&gt;  &lt;p class="MsoNormal"&gt;&lt;span style="font-size:100%;"&gt;And then I learned about the &lt;a href="http://www.unifiedfieldbank.com/index.html"&gt;Unified Field Corporation (UFC)&lt;/a&gt;.&lt;/span&gt;&lt;/p&gt;  &lt;p class="MsoNormal"&gt;&lt;span style="font-size:100%;"&gt;&lt;span class="normaltext"&gt;The Unified Field Corporation is a sustainable community partnership bank formation systems and development company with the vision to open Unified Field Banks across the nation. Plus, as mentioned in my previous blog post, this may be a change you’ll be forced to make in Los Angeles come this July. Might as well get into a good habit!&lt;/span&gt;&lt;/p&gt;&lt;ul&gt;&lt;li&gt;&lt;span style="font-weight: bold;"&gt;Become a vegetarian&lt;/span&gt;&lt;br /&gt;&lt;/li&gt;&lt;/ul&gt;&lt;p class="MsoListParagraphCxSpMiddle" style="margin-bottom: 0.0001pt; line-height: 16.75pt;"&gt;&lt;span style=";font-size:100%;color:black;"  &gt;Benefits: Becoming vegetarian is one of the most important and effective actions you can take to reduce the negative impact you have on the environment. Livestock production accounts for 18% of global greenhouse gas emissions, generates an enormous amount of water pollution in the form of pesticides, antibiotics, and fecal matter, and requires an enormous amount of land, water, grain, and petroleum. In fact, researchers at the University of Chicago concluded that switching from a standard American diet to a vegan diet is more effective in the fight against climate change than switching from a standard American car to a hybrid. I know how hard it can be to hold on to used batteries instead of just tossing them in the trash, but if there is a bag already labeled for e-waste, it can help keep those tiny pieces together. Beginning in 2012, the nation’s most comprehensive carbon trading program will take effect in California.&lt;/span&gt;  &lt;p class="MsoNoSpacing"&gt;&lt;span style="font-size:100%;"&gt;&lt;o:p&gt; &lt;/o:p&gt;&lt;/span&gt;&lt;/p&gt;  &lt;p class="MsoNoSpacing"&gt;&lt;span style="font-size:100%;"&gt;This program will incentivize, through allowances and credit/offset purchases, businesses and factories to curb their emissions of carbon dioxide and other heat-trapping gases. Each allowance represents one ton of greenhouse gas emissions. The allowances will be mostly free for the first three years with the allowed emissions level declining annually.&lt;/span&gt;&lt;/p&gt;  &lt;p class="MsoNoSpacing"&gt;&lt;span style="font-size:100%;"&gt;&lt;o:p&gt; &lt;/o:p&gt;&lt;/span&gt;&lt;/p&gt;  &lt;p class="MsoNoSpacing"&gt;&lt;span style="font-size:100%;"&gt;When it comes into effect, companies over the allowed levels will either have to reduce their emissions or buy credits from other businesses to cover their excess. With a huge incentive to invest in clean technology, companies seeking reduction in emissions will be turning to green tech businesses to help shift their current emission levels. Two days ago, on November 16&lt;sup&gt;th&lt;/sup&gt;, 2010, the Los Angeles County Board of Supervisors took the first step to ban single-use plastic bags. The final ordinance will be come up for a vote next week!  &lt;p class="MsoNoSpacing"&gt;&lt;o:p&gt;&lt;/o:p&gt;If approved, beginning in July 2011, sixty-seven supermarkets, convenience stores, pharmacies, and drug stores in the unincorporated county area must discontinue providing plastic bags at check-out counters. By January 2012, the ban will cover 1,000 stores throughout the county. Even more progressive than San Francisco, the ordinance will also place a 10-cent surcharge on paper bags to deter shoppers from turning to other disposable bags. &lt;/p&gt;    &lt;p class="MsoNoSpacing"&gt;Interestingly enough, the American Chemistry Council (consisting of members who make plastic bags) have already sought to use the recently passed Prop. 26 (&lt;a href="http://lagreenlawyer.blogspot.com/2010/10/election-day-day-to-speak-on-behalf-of.html"&gt;refer to my previous blog post &lt;/a&gt;for more information on this initiative) to prevent the 10-cent fee from becoming enacted. Tricky tricky ACC, but the 10-cent charge would be exempt from the fee approval because the revenue from the charge would be given to the store owners, not the government.&lt;/p&gt;    &lt;p class="MsoNoSpacing"&gt;Keep an eye out in the coming weeks for a news update from the LA Times. Maybe in a year we’ll see less of these “urban tumbleweeds” drifting across the freeways, clinging to the trees, and slipping into our ocean waters.&lt;/p&gt;  &lt;p class="MsoNoSpacing"&gt;&lt;o:p&gt; in Long Beach, the Engleharts candidly discussed how they are able to stay profitable while embracing the needs of their 200-plus employees and keeping their customers happy.&amp;nbsp; In their daily business practices the company employs the concept of “Oneness.”&amp;nbsp; Below are the propositions that I found will affect the environment and my reasoning on whether to vote Yes or No:&lt;br /&gt;&lt;br /&gt;&lt;img style="margin: 0pt 10px 10px 0pt; float: left; width: 150px;" src="http://i1190.photobucket.com/albums/z452/sustainablelawyer/yosemite.jpg" alt="yosemite national park" border="0" /&gt;&lt;span style="font-size:130%;"&gt;&lt;span style="font-weight: bold;"&gt;Prop 21&lt;/span&gt;&lt;/span&gt;- establishes $18 annual vehicle license surcharge to help fund state parks and wildlife programs; grants surcharged vehicles free admission to all state parks.&lt;br /&gt;Vote: &lt;span style="color: rgb(51, 204, 0); font-weight: bold;font-size:180%;"&gt;Yes&lt;/span&gt;. California’s state parks have undergone multiple budget cuts and need funding for proper maintenance and repairs. Not only will this measure allow for the continued existence of our beautiful parks, it will incentivize the public to visit these areas and enjoy the outdoors.&lt;br /&gt;&lt;br /&gt;&lt;span style="font-weight: bold;font-size:130%;"&gt;Prop 22&lt;/span&gt;- prohibits the state from borrowing or taking funds used for transportation, redevelopment, or local government projects and services.&lt;img style="margin: 0pt 0pt 10px 10px; float: right; width: 150px;" src="http://i1190.photobucket.com/albums/z452/sustainablelawyer/metroredline.jpg" alt="metro red line" border="0" /&gt;&lt;br /&gt;Vote: &lt;span style="color: rgb(51, 204, 0);font-size:180%;"&gt;&lt;span style="font-weight: bold;"&gt;Yes&lt;/span&gt;&lt;/span&gt;. Last year the State passed a budget that borrowed and took approximately $5 billion in city, county, transit, redevelopment and special district funds. Beyond taking money away from police services, healthcare services, road repair and maintenance, parks, and libraries, the State hurt public transit maintenance. As I’m sure many of you have noticed, bus/rail/shuttle fare prices have increased and routes have been redirected. Saying Yes on 22 will protect these necessary services from further cuts and protect the local community that relies on them.&lt;br /&gt;&lt;br /&gt;&lt;span style="font-weight: bold;font-size:130%;"&gt;Prop 23&lt;/span&gt;- suspends implementation of air pollution control law (AB 32) requiring major sources of emissions to report and reduce greenhouse gas emissions that cause global warming, until unemployment drops to 5.5% or less for full year.&lt;br /&gt;Vote: &lt;img style="margin: 0pt 10px 10px 0pt; float: left; height: 150px;" src="http://i1190.photobucket.com/albums/z452/sustainablelawyer/climatechange.jpg" alt="climate change polar bear" border="0" /&gt;&lt;span style="color: rgb(255, 0, 0); font-weight: bold;font-size:180%;"&gt;No&lt;/span&gt;. California’s Global Warming Solutions Act AB 32, signed in 2006 by Governor Schwarzenegger, is set to bring the state’s emissions down to 1990 levels by 2020. Prop 23 would stop the implementation of AB 32 until unemployment is below 5.5% for at least a year, a number our state’s unemployment has not even touched in three years. It would effectively kill California’s landmark climate change law and discourage other states from passing similar statutes. We cannot let this measure go through; if there is only one thing that you remember on November 2nd as you stand in the booth, I hope it is &lt;span style="font-weight: bold;"&gt;“No on 23.”&lt;/span&gt;&lt;br /&gt;For further information: Learn more about &lt;a href="http://www.arb.ca.gov/cc/ab32/ab32.htm"&gt;AB 32&lt;/a&gt;, hear &lt;a href="http://www.youtube.com/watch?v=zyjYY82uOIM&amp;amp;feature=player_embedded"&gt;a catchy tune&lt;/a&gt;, read what &lt;a href="http://www.environmentcalifornia.org/global-warming/no-on-23"&gt;Environment California&lt;/a&gt; has to say.&lt;br /&gt;&lt;br /&gt;&lt;span style="font-weight: bold;font-size:130%;"&gt;Prop 26&lt;/span&gt;- requires that certain state and local fees be approved by two-thirds vote; fees include those that address adverse impacts on society or the environment caused by the fee-payer’s business.&lt;a href="http://www.environmentcalifornia.org/global-warming/no-on-23"&gt;&lt;img style="margin: 0pt 0pt 10px 10px; float: right; width: 150px;" src="http://i1190.photobucket.com/albums/z452/sustainablelawyer/pollution.jpg" alt="air pollution" border="0" /&gt;&lt;/a&gt;&lt;br /&gt;Vote: &lt;span style="color: rgb(255, 0, 0); font-weight: bold;font-size:180%;"&gt;No&lt;/span&gt;. This measure, if passed, would make it more difficult to pass fees on industries that pollute our air and water and ultimately endanger our health. I have found, not only in my practice as a lawyer, but in all aspects of my life, that if I take the time to help someone else with what they need, I will inevitably find that I, and my own business grow stronger as a result.  The key to making this strategy work for you and your organization is tap into what you do best and give it away to those that could actually use what you have to give.  What happens next is: that person remembers you, knows what you do, and will not only tell others about what you did for them, but they will become an advocate for you.  Before you know it, you have more business!&lt;br /&gt;&lt;br /&gt;Case in point.   While still working at my old law firm, I made friends with supervisor of the mail room.  She was such an inspiration.  While holding down a full time job at the law firm she also found time to organize gang prevention programs and a charter school in South Central Los Angeles.  She would tell me stories about the kids affected by gangs in those neighborhoods and how their simplest needs were not met.  I wanted to help her, and my particular skill was organizing fundraisers for social missions.  So, I set out to organize an office Thanksgiving basket program for families in need with her.  It was so successful that the firm continued the program even after I had left.  Shortly after starting my practice, one of my first clients was my friend and since then she has referred me other clients.  And so it goes, what comes around, goes around.  I have countless stories just like this one, and I’m sure you do too if you think about it.&lt;br /&gt;&lt;br /&gt;So, how can you harness the power of “what comes around goes around” for your business or organization?  Here are some ideas:&lt;br /&gt;&lt;br /&gt;&lt;div class="MsoListParagraphCxSpFirst" style="margin-left: 77.35pt; text-indent: -0.25in;"&gt;&lt;span style="font-family:Symbol;"&gt;·&lt;span style=";font-family:&amp;quot;;font-size:7pt;"  &gt;         &lt;/span&gt;&lt;/span&gt;Find a local charity and invite your employees to participate in it during their work week.  (You will find that their enthusiasm and inspiration from this project will translate to the work that they do for your organization). For example check out Chromatic Lithographers, their project is called the Green Print Alliance. &lt;a href="http://www.greenprintalliance.com/page1.html"&gt;http://www.greenprintalliance.com/page1.html&lt;/a&gt; &lt;/div&gt;&lt;div class="MsoListParagraphCxSpMiddle" style="margin-left: 77.35pt; text-indent: -0.25in;"&gt;&lt;span style="font-family:Symbol;"&gt;·&lt;span style=";font-family:&amp;quot;;font-size:7pt;"  &gt;         &lt;/span&gt;&lt;/span&gt;Help your friend or colleague that needs a new job by forwarding them job openings that they might be interested in.  (If that company actually hires your friend, your will have a great connection at that company – and who knows - get some new business from your new alliance). &lt;/div&gt;&lt;div class="MsoListParagraphCxSpLast" style="margin-left: 77.35pt; text-indent: -0.25in;"&gt;&lt;span style="font-family:Symbol;"&gt;·&lt;span style=";font-family:&amp;quot;;font-size:7pt;"  &gt;         &lt;/span&gt;&lt;/span&gt;Give a little to that person that you drive past every day. Situated in the heart of Los Angeles at LA Center Studios, this two-day business conference brought together over 800 attendees from Fortune 500 powerhouses to cutting-edge startups and showcased ideas and practices at the forefront of today’s sustainable business practices. Some of the lecture and workshop topics included renewable energy, marketing a business, philanthropy, lifecycle analysis, and green technology.&lt;br /&gt;&lt;br /&gt;It was an absolutely refreshing experience. From the very beginning there was a vibrancy that emanated from everyone. What I truly enjoyed was the great balance between speakers, workshops, networking breaks, and competitions. I loved that there was always someone new to meet, someone to gain inspiration or knowledge from, someone to share passions with. Even during the presentations there was a lively community atmosphere. Center Studio’s Stage 2 was laid out with round tables in the front and couches in the back, enabling entrepreneurs to network and engage in friendly conversations that otherwise would have been hindered in a standard conference row seating environment. Vendors and speakers were also willing to talk and answer questions at all hours of the conference, facilitating partnerships with green advocates from businesses both large and small.&lt;br /&gt;&lt;br /&gt;I don't think Becki or I could have asked for a better experience. For me personally as a student looking to become an environmental lawyer, I really gained a sense of pride for the sustainability movement in Los Angeles and beyond.
